Governance Organizational and Management Model pursuant to Legislative Decree 231/2001

Legislative Decree no. 231 of 8 June 2001 on the "Administrative liability of legal entities, companies and insurance companies, also without legal liability" introduced in our legal system the liability of companies for offences committed in the interest or to the advantage of the same by top management or employees.

Such liability is subject to heavy monetary sanctions and, in some cases, criminal proceedings.

Such decree, however, foresees that the company can exclude its liability and be exempt from sanctions if it demonstrates that:

•it has adopted and effectively implemented an Organisational and Management Model suitable for preventing offences of the kind which took place;

•it has assigned the task of supervising the functioning of and compliance with the Model to a Body with its autonomous powers of action and control;

•the persons have committed the offence by fraudulently eluding the Model;

•there was no omitted or lack of supervision by said controlling Body.
